•	Preparation of Factoring Agreements, Purchase Agreements, Powers of Attorney, Critical Terms Agreements and Schedules, Debtor Notifications, Letter of Credit Documentation,

Account Assignments, Collateral Descriptions, Guaranties, and many other documents necessary to and/or unique to the commercial factor.

•	Drafting intercreditor agreements, subordination agreements, consent agreements, Internal Revenue Service agreements, waiver of claims agreements, and other interfactor and intercreditor agreements.
